Software License Agreement

1. Grant of License

Subject to the terms of this Agreement, Caspraa grants you a limited, non-exclusive, non-transferable license to use the Caspraa software and services for your business operations in accordance with the documentation provided.

2. Permitted Uses

• Use the software for legitimate business purposes
• Process WhatsApp order data through our AI systems
• Access and utilize the dashboard and reporting features
• Integrate with approved third-party applications
• Create backups for business continuity purposes

3. Restrictions

You may not:

• Reverse engineer, decompile, or disassemble the software
• Modify, adapt, or create derivative works based on the software
• Distribute, sublicense, rent, or lease the software to third parties
• Use the software for illegal activities or to violate any laws
• Attempt to gain unauthorized access to our systems or other users' data
• Remove or alter any proprietary notices or labels

4. Intellectual Property Rights

All intellectual property rights in the software, including but not limited to copyrights, trademarks, trade secrets, and patents, remain the exclusive property of Caspraa. This license does not grant you any ownership rights in the software.

5. Data Ownership and Processing

• Your Data: You retain ownership of all data you input into the system
• Processing Rights: You grant us the right to process your data to provide our services
• AI Training: We may use anonymized, aggregated data to improve our AI models
• Data Portability: You can export your data at any time

6. Service Level Agreement

• Uptime: We target 99.5% uptime for our services
• Support: Email support available during business hours
• Maintenance: Scheduled maintenance windows will be communicated in advance
• Data Backup: We maintain regular backups of your data

7. Updates and Modifications

Caspraa may, from time to time, update or modify the software to improve functionality, security, or compliance. Such updates may be automatically applied to ensure optimal service delivery.

8. Compliance and Regulatory

• Our software complies with GDPR and other applicable data protection regulations
• We maintain SOC 2 Type II compliance for security and availability
• Regular security audits and penetration testing are conducted
• Data encryption in transit and at rest using industry standards

1. API Usage Rights

Subject to your compliance with this Agreement, you may access and use our APIs to integrate Caspraa services with your existing systems and applications.

2. Rate Limits and Usage

• API rate limits apply based on your subscription tier
• Excessive usage may result in temporary throttling
• Commercial API usage requires an enterprise license
• You must implement proper error handling and retry logic

3. Third-Party Integrations

You may integrate approved third-party applications with Caspraa, provided such integrations comply with our security standards and the third party's terms of service.

1. On-Premises Deployment

Enterprise customers may license our software for on-premises deployment, subject to additional terms and security requirements. Contact our sales team for custom licensing arrangements.

2. White-Label Solutions

White-label licensing is available for qualified partners and resellers. This includes the right to rebrand certain components while maintaining core functionality and security standards.

3. Custom Development

We offer custom development services for specific business requirements. Custom-developed features are subject to separate licensing terms based on the scope and complexity of the work.

1. Termination Rights

Either party may terminate this license with 30 days' written notice. Upon termination, you must cease all use of the software and delete all copies in your possession.

2. Data Retention After Termination

Following termination, we will retain your data for 90 days to allow for data export. After this period, data will be permanently deleted unless legally required to retain it.

3. Limitation of Liability

In no event shall Caspraa be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or business interruption.

4. Indemnification

You agree to indemnify and hold harmless Caspraa from any claims arising from your use of the software in violation of this Agreement or applicable laws.
